overstay and H1B question

hi,

My OPT has expired on Aug 7, 2003 and I'm actually
using the 60-day grace period to stay in the US and to look
for any potential jobs.

Now, I think I might finally get an offer from a company in
Pennsylvania. My question is whether I will be considered as out-of-status and will be confronted with any problem when I apply for a H1B??

Would it be a good idea to go back to my country once to return the I-94 from the old I-20 and deal with the H1B issue later?

No you should be okay. But taking either action is a personal choice, since if you decide to stick around , you might be forced to stick around till GC. If you leave to get the H1 visa in US consulate you run the risk of rejection, but you wont feel claustrophobic...
