L1 to F1 (OPT/CPT) to H1

Dear experts,

I need one confirmation. I am in L1 visa for company A, another company B offering me a job which to started by Feb 07 end. As H1 will be available from 1st Oct, he is asking me to get en-rolled in a Univ to change my status from L1 to F1, and then he will arrange OPT or CPT for me which will allow me to work for Company B. Finally he will apply H1 for me in April 07 which will be effective from 1st Oct 07 and my status will be changed from F1 to H1.
For me, it is too confusing. Gurus, is this possible? and/or legal?
Please suggest.

You are eligible for OPT only after finishing an university degree course ( atleast one year of study).

If you join any school now, you get your F1 COS after 3 months, but you can not work with you F1. You can change your F1 to H1 B starting from April 2007 but you can start working with your H1b only after Oct 1, 2007.
