H1B Transfer - Can we start this process outside of US?

Hi,
I went to US in H1B through company A.
I was in US for 3 months and returned back to India.

Now one consultant is telling me that he will transfer that H1B.
And I need to travel to US with the same Visa.

But, in my visa my previous company name is stamped.

When I discussed about this to few of my friends, I got different openions.
Some one told that we cannot start the H1B process while in India. May be if I would have started this while in US, then it would have been fine.

Few more people said that its not possible as transfer of H1B, as it comes along with an I-94 itself.

When I spoke to this new company, they told me that they will start the process now and once its done I need to travel with the existing visa only.
They told that since I had already been to US it wont be a problem for me.
Also, they told me to carry my previous pay slips with me.
And new company's employment letter.

In what way will my pay slip from company A would help me if I go for a another company's employment?

But, I am not sure if this is legal.
Can you please advise me on this?

one can only transfer H1 to H1 when you are IN US as H1 transfer is filed by new employer to USCIS with your Recent pay stubs from past company.
