H1 approved, but not stamped. Subject to quota?

This is for a friend in India. He has never been to the US. The U.S. branch of his co. applied H1for him and got approval an year ago, but never gave him the papers or send him for visa.

Now he would like to come to the U.S. through some other co. Is he subject to cap?

Previously approved H1 is a piece of paper until it get activated (mean he must enter n to US to activate his h1 status).

How to activate H-1B status? I convert from F-1 to H-1 while I was in US in 2000, and never get a stamp on my passport for H-1. I then changed back to F-1 in 2003. Now I plan to apply H-1B. Am I subject to cap?
