doing volunteer work and getting stocks in return

Hi,
Needless to say that I am on H1B.
I plan to do some volunteer work in my friend's company.
That company is willing to give me stocks in return.
I do not intend to make any other income from that volunteer work.
Now my question is that is it legal to get stocks in return of my volunteer work ?
