I am a student currently pursuing my PhD and came to the US a year ago. I did an internship in a company here and they want me to join them as a full time and are willing to sponsor my H1. Would there be any legal issues or any problems in me getting a H1 as I would have to change my status from F1 to H1 without completing my studies.

Should not be a problem, Dont attempt to get a H1 visa stamp in passport before green card is done...

Wouldnt I have to change my status from F1 to H1. Would it mean that I have to go to India to get my Visa stamped or can I stay in the US without getting my VISA stamped.

Would me not completing my studies hamper my GC processing in anyway if my company will process my GC

You can get the visa stamp from Canada too, if you have completed your studies. But if you file F1 to h1 change of status, instead of new H1, you can stay here in US and work. Only problem is that you have to risk going to home country to get the visa stamp- but that will happen only if you want to travel out of US.
