Can employer issue legal notice for not joining!

Hello,
Your advise is really appreciated.

I'm currently employed with company A working on H1B and decided to move out to a different company.

Employer B (desi company having offshore in India) arranged for an interview which I cleared and all the offer details transactions happened through e-mail. They promised xx$/hour. I replied to their e-mail saying I'm fine with the offer. I asked for an hard copy of offer letter. Next day they sent me an hard copy of offer letter. Before signing and returning the hard copy of offer letter to Employer B, I changed my decision for various reasons and told them I cannot take their offer.

I called them over phone and said that I cannot take the offer but they are saying that I replied in my e-mail saying I'm fine with the offer with which they promised my joining date to the client and If I'm not joining they will issue me a legal notice.

Please advice and I really do not want to join the Employer B and worried if they send a legal notice will cause a problem now.

PLEASE ADVICE!!!

-----if that company is in US did they file H1 transfer for you? did H1 transfer got approved?

Thanks for your reply.

The company is in US and I did not send my paper works for H1 transfer.

They are saying to issue a legal notice from US since I accepted the offer through e-mail.

If I get a legal notice what should I do?one of my friend suggest not to receive it from the courier guy.
