I-485 Interview next month, I-40 DENIED..

I have now a I-485 INTERVIEW in march.

But my I-140 which was a EB3 on a substitue after RFE, was denied stating these reasons:

a) Proof of revenue only of the company is not enough, tax returns of the company is also required.
b) We are not bound to accept a 3 + 1 consolidated degree to be equivalent to a 4 year degree course of the applicant.

Backgruond
1.My H1 has already expired.I am currently on a EAD with I485 pending.
2.I have a 3 yr degree BSc+ 1 year diploma in Computers.
3.I had Applied in EB3 on a substitue I140 in Nebraska with more than 15 yrs experience in IT.

My Questions.

1. I am planning to apply for a Appeal FOR I-140. Do I have to leave the country wihhin a month.
2. When does the period of OUT of Status begins. What is the best Action?
3. I have a I-485 interview next month . What do I do?

Please advise what I can do .... Any Help will be appreciated.

If I-140 is denied then why the Interview for I-485??
