when to do COS to F1

Hi,
I am currently employed under H1B Visa. My I 94 is valid till Aug 2010. My current project is getting over on 31 July. I have applied to university for fall 09 courses. I should be getting I 20 soon. I have 2 questions –
1. How quickly shall I apply for COS to F1, before my status becomes illegal.
2. If I get a new job before 2 months from the last day of my paycheck, could I still transfer my H1B to another employer, even though my status is changed to F1.
Please advise.
 
Since you plan to attend school, what difference does it make?

F1 is not for staying in the US until you find another job - it is for studying.
