urgent help !f2 to h1 to h4

I had originally come on F2 and my F2 is valid till aug 2003, though the i-94 has d/s (what does this mean) in the until field. I got my h1b and new I-94 with that. Is my old i-94 still valid ??
Recently i got laid off(not more than 10 days) and my spouse is on h1b. how soon/later can i convert to H4? thks for ALL help.
 
F2 I94 is no longer valid...

When you applied for your H1, you would have sent a copy of the F2 I94. The new H1 I94 supersedes this.
By being laid off, you are already out of status. You have to apply for H1 to h4 change of status (I539). If you are out of status for more than 90 days, INS might issue H4 (or reject it totally) and ask you to get it stamped before enjoying the new status. If you have been out of status for more than 180 days you might be eligible for the 3 Yr ban.
I think the days count from the date of termination letter or the date mentioned in the letter to INS sent by your employer.
