two jobs on H1

I have an H1B with company X, and I also have an approved I-140 with that company. I have > 2.5 years of H1 left. I am planning to Join company Y, though the only problem is that if i leave company X before September end, i will need to pay a lot of money back (relocation, joining bonus, lost stock etc). The company Y wants me to be in By Sep 1, no later than that. I know i can use I140 to get a 3 year approval for H1 with Y and Y can start by GC process using I140 priority date porting, so that i have the PD, though anyways the PD isnt great, it is end of 2008.

Questions
In order to make sure i dont pay, i need to be on the payroll of company X till sep end. So can i take a leave (vacation + loss of pay for additional days) and take about 4 weeks off. Join Y on Sep 1 (thats a different city). Then resign from company X in sep end.

1. Is it legal, i am not physically working at both places.
2. What about tax implications, will it be considered as a fraud ?

Unfortunately it will be considered illegal work since none of your petitions will be for concurrent work.
