Starting a own company on H1-B visa

I am on H1-B with company X. Want to continue with the same company for couple of years. I also want to start my own company "Y" with a friend of mine. As we are not expecting any profits for the next couple of years, can I work for the company "Y" during my free time with out applying for the H1-B visa from the company "Y".

There IS an issue! You can start a C-Corp, but NOT an S-Corp. And when you\'re just 2 people, you\'ll want to start an S-Corp, otherwise you cannot take advantage of major tax advantages.

Tax implications aside: you can "work" for Company "Y" as long as you do not get paid from Company "Y". Once the Company "Y" is on its feet and you decide to actually begin getting paid from Company "Y", you cannot file for back pay as you were not legally working for Company "Y".
