I was laid off and terminated in Feb 2003. I have an offer from another employer and has received my H-1 papers. But it does not have I-94. Should I go bakc to India and re-enter to get a new I-94. OR I can just fly to Canada and re-enter to get an I-94. I have a valid H-1 stamp from my previous employer until 2004.
Any suggestion will be greatly appreciated

you need to get a new H1 stamped.

The INS knows that you have been out of status..which is why you got the H1 approved with no I-94.

No. But ASAP you should go out of US and come back in with a new I94. You can go and get the new I94 from an international airport too.
You can also go to your homecountry and get the visa stamped. You will get the I94 only while entering US though.
