L1B to H1B without COS

Hi,
Presently i am working in USA for Company A on L1B. My L1B visa and petition will expire in July 3rd week. Company A is applying for L1B extension. Recently i had a H1B offer from Company B. They had filed a H1B petition on June 2nd.This H1B petition will be effective from Oct1st,2005.

1)Will it be a problem to have new H1B petition and L1B extention petition at same time.Will it create any problem to my L1B extension.

2)How long can i stay in USA.I have plans to join with company B in Dec,2005.
So, do i need to leave USA before Oct,2005 and come back with H1B stamp,I94 to USA.

Please some one advice me as early as possible.

But it all depends, if your H1 approval notice come with I 94 at the bottom you no need to go out to get H1 stamped inyour pp. If not you have to go out and come back with I 94 citing H1. Untill your H1 is approved, you are in L1 and keep it current by extending its validity.

My problem is i want to work for Company A in USA upto September,2005 on L1B extension. If my H1B petition approves in next month what happens to L1B extension.
Will H1B petition approval creates a problem to L1B extension petition.
I want to go to india in last week of september and planning to leave Company A once my H1B Visa gets stamped in India.In december i want to come to USA with H1B .

Yes you can work.
