L1B - H1 Conversion

I am on L1B with Company-A and working for Company-B as consultant.
My L1-B and I-94 is valid till July-2007 end.
Now Company-B is offering me a permanent offer.

1) Can Company-B file for Change of status to H1 so that I can join them
as soon as it gets approved? or
2) Do I need to get H1 first and then apply for employer change?

In either case as I have a valid I-94 can I go to 3rd country for
H1 visa stamping?

Please advise me the safest and convenient way to take Company-B's offer.

Appreciate any help.

Company B should apply change of status as well as H1 petition together.
Approval of H1 may not give you work authorization if your H1 start date is not reached.
