h1 transfer after > 180 days with 485 pending

I have my 140/EAD/AP approved. On dec 31st, its going to be more than 180 days since my 485 has been pending, and i intend to make use of AC21 portability rule.
my questions:

1) my current company is in chicago, il and the new company is in Indiana. Does that cause any issues as far as the h1 transfer is concerned. my thought is that i could start working for the new company the day after my h1 transfer is filed.

2) is there some premium processing for h1 transfer? if regular process is used how long does it take?

3) if my current company terminates my employment on dec31, 2004 and my new company picks up on jan 01, 2005 will that be ok as there is no overlap between the two h1's

Thanks in advance!
cheers

----- you will be eligible to use AC21 AFTER december 31

----- no problem, lawyer need to file H1 transfer with NEW LCA for new location of work with H1 transfer petition

--yes

----- depends on service center and you can check your service center times, normaly it takes 3-5 months

---- better file the H1 transfer Before December 31 with recent pay stubs from past employer and make sure that your new lawyer files it as H1 Transfer(NOT as Fresh NEW H1)
Thanks in advance!
