H1-B and Letter from University

My fiance has been offered employment at a company where she did her summer internship and they do sponsor H-1Bs. This (Spring 08) is her last semester at University where she is completing a bachelors degree in Economics.

Due to the reduced quotas, lottery system etc. her company lawyer has insisted that she send a letter saying that her degree requirements are "COMPLETE" even before the semester is over (she has 12 more credits to finish, which she is taking now). The lawyer has specifically stated that there cannot be any qualifiers in the letter such as "upon the completion of the sememster she will have the necessary credits to graduate...." etc. The lawyer wanted this letter so that he can apply for her H-1B in April although she only graduates in May.

She has already talked to her university registrar, who has mentioned that such a letter can be only be provided with such qualifiers as there is always a possibility that for example, she may get sick and not be able to complete some classes etc. They do not want to lie and say all the degree requirements are complete before the end of the semester.

Questions:
1. Why does the lawyer need such a letter before her graduation?
2. Why can't the lawyer wait until May after she's technically done with her degree?
3. Has anyone else run in to this type of scenario and can provide any advise?
