F1 -> L1, help@!

I am being considered by my previous employer out of the US to offer me a position in its US subsidiary. I was told that they would like to file the L1 petition for me. I am now in F1 OPT period, and will have stayed in the US for 2 years this August. Prior to coming US in August 2004, I had worked for my previous employer for 2 years. So,
Am I qualified to apply for the L1 visa?
If so, when should the company file the petition, or get it approved?

Company can file L1 petition any time as L1 does not have any quota.
If you have done your MAster's from US then you also qualify for H1(Master's Quota).
I think they should file ASAP so that you meet the L1 condition.
"Person should have worked for employer abroad for 1 year in last three years."

I got my Master this May. One more question:
The processing period for L1 is typically 1~2 month. If the company files the petition for me by the end of this month, when the L1 is approved in August or Sept., the "three years" limitation for my case has already been effective. Then from what day to count the three years? From the filing date or approval date?

If you are talking about three years I mentioned for L1 criteria I think it should be filing date, but you can confirm this with Attorrney who will file your L1.
