Do I have enough time for perm?

Hi guys,
I need your help to take a decission here
I greatly appreciate your help

I work for a company A who holds my H1B,my term completes on july 2006
They applied for a labor in certification (EB3) in march,2004 ,it cleared state and moved to backlog center afterwards
I contacted by a Company B and willing to do perm now in EB2(bachelors degree +5 years exp).
and what they are saying I can opt for joinging their company after labor approval
Do I have enough time?
I heard that for ad itself takes 2 months and after the ad ,we need wait for any another 2 months
What happen if the labor does not approve by july 2006?

I have following question

1. Is this offer good? I am going to loose my EB3 prority date?
is advisable?
1. can I join company B after labor ? is that be a problem?
2. What happen my term completes before labor approval?
