difference between h1 transfer and new h1 while already having an H1

I have an H1 that is valid till dec 2005
1. can i apply for a new h1 thru a different company and not join that company at all. just have that new h1 as a precaution if something goes wrong....
2. also if i transfer my h1 to new company ,then do i have to join that company immediately. does my old h1 void. i mean can i go back to my previous company.
i am really confused .. pls explain the differences.

1. Yes U can
2.After approval you can choose not to join the new company and remain in the original company. You have 30-60 days to join the new company, beyond which your new H1 transfer approval might become invalid.

I am planning to start GC for future employment thru a different company and join that company after the labor is approved.
so
1. If i start a new H1 now, is that counted towards increasing the cap ??? If it gets approved how long is it valid for .
2. If I do a h1 transfer , what is the validity if that , i mean after the approval how long do i have before i need to join. also if i do that does my previous h1 invalidate OR can i go back to the previous h1 if things dont work out .

all in all i would like to know the differences between a h1 transfer and a new h1 . advantages / disadvantages etc . i would highly appreciate ur response.
