Could I retain Priority Date & H1 B visa ?

I am in need of your help. Here is my situation.
I work for company A on H1 ( accounting) expiring in 2009. Company B ( sister concern of company A) filed my greencard process thru which my I-140 got approved in Jan 2006. Unable to file I-485 because of retrogression ( my PD is July 2003 EB 3).
Got 3 yrs of H1 B extention based on approved I-140 from company B.
Now my employer says that he will terminate Company B by end of the this year. My lawyer said that I will lose my Priority date if I apply a new PERM and I-140 from new company or Company A. He says that if we start a new Perm it would be next year when I will be able to file I-140. According to him, to retain Priority date at the time of filing a new I-140, previous company should be in a business. In addition, he also mentioned that I may also lose my H1 B extension, since it was approved based on approved I-140 from company B which will be terminated in Dec 2006.
I hope I can retain Priority Date. I am very stressed. Please reply.
 
As per my understanding, you are not going to loose the H1B for any reason. Once you get 3 years apporved, you can be here until it expired.

Gurus please correct me if I am wrong.....
