Changing from H1 To F1

Please suggest:

I am currently on H1B visa into 7th yr extension and my company got sold to another comp. my job is at risk. Currently I am doing part-time mba at a local univ.
Can I change to Full-time student and continue my studies. What are the chances of doing this without hassels.
Do I need to go out of the country for stamping ? or can I remain in US and get adjustment of status..?
Please help as how should I proceed in this situation.

You don't have to go out, you can change status in the US.
