Canadian PR starting a business in US

I have a canadian PR and I am currently residing in Canada. I want to start a company in US. After researching this forum and murthy.com, I came to an opinion that with regards to starting a company in US, the CIS treats a canadian PR just the same as any other national with a H1B. i.e., he can start a company in US but can not work for it. Am I correct?

My citizenship is under processing with canadian immigration department. If I get the canadian citizenship, can I start a company in US and work for it without any restrictions? I think even a canadian citizen also needs a TN visa to work in US, so if I start a company after I get the canadian citizenship, would there be any restrictions for me in working for my own company? Can I operate the business from Canada without ever coming to US?

The citizenship process is going to take quite sometime and I don't want to lose the business opportunity in the mean time. I have few friends who hold H1Bs in US... They are ready to work for the company in the background (i.e., my company DOES NOT hold their H1s). What are the potential problems with this solution?

Can anyone suggest attorneys who wouldn't charge for consulting on above issues (I mean, first I want to know the legal complications of the issues and then go for hiring an attorney.. So I need an attorney who explains me the complications without any consulting fee and later on if I am willing to start a company he/she can charge)
 
JoeF, I am sure you would have found the part of "free consultation" in my post as ridiculous.. The only reason I have attached the "free" tag is because I don't know whether it is worth spending $500 to $800 without getting anything out of it. I mean, all most all the lawyers charge at least about $150 for consultation.. I might have to contact at least 4 or 5 attorneys on this issue... Say, at the end of consultation if they would conclude that I can't go for incorporation as I am not legally eligible to work for my company all of the money goes waste... With a forum like this, you have access to multiple sources and that's the reason I have posted my question on the forum but not to get anything and everything for free.. Hope you see my concern on this issue.... Please let me know if you or anyone who is reading this post have any pointers?
 
Car insurance you have to have it, it is a law and you cannot afford to drive without insurance but no law asks you to pay the big fees to attorneys for a consultation when you can get it free from these sites from intelligent and smart people like JoeF
