AC21-Is I140 withdrawal the only reason for Denial/NOID

Hello Guys
From what I have been reading it appears that I140 withdrawal is the only reason for I485 NOID/Denial when using AC21 so if previous employer does not withdraw I140 then you are safe(assuming you have fulfilled other basic requirements for AC21), am I right?
 
I would say it's one common reason to deny 485. There are tons of others like: failed to present on fingerprint appointment, not similar job, false document, employer fraud, illeagal stay, blah blah blah...
If one is clean and I-140 keeps staying, AC21 is pretty safe. Even if I-140 is revoked, that only causes a bit trouble to clarify, not the death of case.
