140 from different company

can I apply for a I140 on a substitute labor with a different company, without transfer on H1B ?

I want to apply for 140, without transfering my H1b visa. Because I my into my 5th year, my company has applied for LC from NH.

I don't know if it is ok.
Also, I have MS graduated in Sep 2002. The approved labor filed somewhere in 2001 under EB2(Maters+2 year exp). My question is, in order for me to eligible for that labor should I have completed my Master before 2001 ?

Browni: Yes, You can apply for I-140 even if you are not working with the company. Green card is for future employment.

Green Card 2005: You are not eligible for using the labor if you don't have M.S before the date Labor was filled.
