Starting a business as an active investor but with no income

First I would like to thank you for replying to all the forum queries here.I go through it frequently to clarify things

I am on H1b and so is my friend.We plan to start some business,as of now an export import house.If we invest all the money and hire people to run it for us.Is it okay? I know we cannot work for the company.So we are essentially a passive investor.But we would defenitely get our profit (your forum told it can be in the form of a dividend).we would also have the decision making stake in the company probably in the form of a board.Please suggest.Is this set up legal?

If not it not the alternative would be to find a partner with a GC or EAD to make him a titular head and run the company.Again we would be the investors with probably very little investment from him.His role would be merely titular and essentially the company would be run with our hired employees.Please suggest if this is a proper setup.
