start a business on H1B

Both me and my friend are on H1B and we are planning to open a company (either S corp or LLC). We are planning to work full time on our current job and will be outsourcing most of our work (work only part time). I wanted to know if we can start the company and do we need special authorization. Also both of us file resident tax so does that mean we can open a S corp or do we have to go for LLC.

I read on sheelamurthy.com that you can do volunteer work for your company and somewhere else it said that you can earn profits from your company too. Based on your reply, it seems like a person on H1 can only be a passive investor and cannot manage his own company or has to get a part time H1 to work for his own company. That is surprising considering the fact that many people on H1 do start up their own company.
 
Thanks for replying. This means the max I can do is start a company on LLC, hire a resident or GC guy to run the business and give suggestions/ directions to them :-(. I will consult with a lawyer and if nothing works out I can always open a company in my country :-). The data was based on people I met in various forums. But maybe they did not tell me the entire story.

What happens in case I open a LLC here to establis a presence and at the same time not hire any person and say leave US next month and go back to my country and get the outsourced work done there.
