L1 to H1B COS without client letter

Hi,

I am currently in US with L1 since Aug-2007. My L1 visa is going to expire in June2010. And my management is asking me to come back to India. However the client is willing to keep me if I had an H1. Unfortunately I do not have an H1. I want to apply for a new H1 but the client is not ready to give a letter as they fear that they may fall into some legal issues.

What should I do ? Should I take the risk and go ahead with filing H1 ? Is there any way to get a letter from some other company ?
 
Why do you think it would be OK to get a letter from a company for which you would not be working? Do not participate in any type of fraud or misrepresentation.
