L1 stamping and LC applied on future employment basis. Trouble?

Hi,
I used to work for Company A on H1B in US. I worked for this company for 3 years. After that I joined another Company B in Us on H1B. After my 6 years are over. Company B sent me to India for 1 year. Now, After 1 year, my Company B is calling me on L1B.

In the meantime, my company A has offered me to file LC on future employment basis. I have to give them the answer soon whether they can apply or not.

I have following questions:

1. If LC is applied by Company A and I go to L1 stamping for Company B then in US consulate do I have to mention that my LC is in process. If I say "yes" or "no" then will I get into trouble.

2. If everything goes fine and I come to US on L1B with my LC applied and if the LC gets approved then for filing I-140, do I have join the company? If yes then can I be on H1 as well as L1.

3. If I have to join them then do they have to apply for my H1 in April 2005 or they can do the L1B to H1B transfer anytime (evenif the H1B quota is finished).

4. If I join them on H1B then can I file I-140 and !-485 simultanously so that my wife can get EAD and she can also work.

5. Normally, Company A comes to me only if they have some benefit in dealing with me (they are kinda selfish). Here they are saying that we are doing this for you. What can be their benefit in this? I am not sure if I am opening a can of worms here...

Some answers to your questions below. I do not have answers to all your questions:
1. No, you do not have to mention anything about the LC. The LC is for a specific company, for a specific position, but a name has not been attached to it yet. That happens in a later stage.
2. Obviously, the company wants you to join. Maybe the sooner the better (?), however you can only be in one visa status (either L1 or H1b)
3. They probably need to apply when quota is still available. You have been outside of the US for more than one year, so your H1b will be a new one.
4. Not sure about this. Lot's of info is available about these two steps
5. Every company is selfish, so should you. I can only imagine that they want you to join them asap, and they know that throughout the whole process you will be happy to stay with them wthout an urge to move to a different company.

Since the whole process takes many years, I suggest you choose the most stable company
