I140 denied

Hello guys, I am having a big problem here.

This is my story:

I came to the US 3 years ago, holding an original L1 visa (1 year) then I renewed it for 2 years.

In these 3 years, my company was worth from 0 to 10 million dollars, so I applied for a green card by filling the I140 and I485 forms with all the detailed information about my company and partners.

A week ago, I received a note from the INS reading the following:

"Before an application for adjustment of status under section 245 of that Act may be considered properly filed, a visa must be immediately available. If a visa would be immediately available upon approval of a visa petition, the application will not be considered properly filed unless such petition has first been approved.

Service records indicate that your I-140, Immigrant Petition for Alien Worker filed on April 12th 2005; SRC XXXXX was denied on November 7th 2005. In view of the fact that your immigrant petition for alien worker (I-140) was denied, your application for adjustment of status (I-485) must be denied. Service records do not indicate the existance of another approved immigrant visa petition upon which you may base adjustment of status"

Please help!
