I am not a lawyer but based on my exp here's my take on it.
You need not file for a new 140 if (successor in interest) clause applies in the acquisition and the new company does not have to file for your H1 again. but consult before you file for new I140 as I am in the same boat it is just that my company acquired another company and they both decided to change names and my lawyer said it is mandatory to file for new I140 which was crap. My new I140 has been pending for more than 375 days YES more than a year. I have called up the INS and spoken to an immigration lawyer just to make sure that the file has not been lost and they say it has been assigned to an officer on 22 apr 2003 after 330 days and they are processing still no news. SO check thoroughly before applying. I do not know since the earlier I140 is approved whether they are waiting to process this application with I485.
look before u leap . once you file it there is a lot of questions regarding the acquisitions, financial status, employment policies of the new comp. etc (basically RFE's).
