Have F-1 visa, Software product idea and investors. What can I do?

Hi,
I'm currently a doctoral student in Computer Science on an F-1 visa and wish to develop a software product based on my dissertation results. I expect the product development cycle to take about 18 months and therefore do not expect to make any profit/income by selling it during this period. However, I require seed money to start this venture and have some interested investors. My questions are
(i) how can I share stake in the eventual business with them, and
(ii) Use the seed money.

1. Can I start a business (without deriving any income) and sell them shares?
2. Alternatively, Can I work on a CPT on this business (and simultaneously hold majority stake).
I realize there are similar threads on this topic but I couldn't derive an answer for my situation.
