H1B to new H1B

I was laid off (finance role in hi-tech industry) end Oct 05, worked 1 year 7 months (8 months on OPT and 11 months on H1B). I found another employer (finance role in a bank) in Jan 06 willing to sponsor me and is applying for a new H1B.

Am I subject to the new 2006 quota (which I know has already been exhausted)? I heard that I am not subject to new quota.

Is the fact that I was unemployed between Nov 05 to Jan 06 (technically out-of-status) affect drastically my chances of obtaining approval for another H1B visa. What are my risks?

My wife is also here on H1B but held off on changing to H4 dependent visa because of the grace period, while doing job search. I have just filed H4 to be in status, at the same time that the new employer is applying for a new H1B for me.

If I don't get approved, I'll be here as a dependent. If approved, will I have to leave the country to get the new H1B stamp before I start work or can I start work immediately upon approval?

I have a Masters degree and over 10 years of working experience in the field that the new job I recently secured.
