H1 Denied for last year MS Quota-MTR or Appeal?

Please advise as my H1 Denied for last year MS Quota. I should file MTR or Appeal? Can I work when one of these are filed? or is it advisable to file a new H1 (subject to cap for 2010)? Currently I work for a client thru a vendor and the employer submitted everything except for the contract between vendor and the client. The contract, PO and Client letter from the vendor was submitted. Its denied mainly saying that the contract is missing between vendor and client, the vendor refused to give that saying it is company confidential and they can't give it.

It seems its extremely difficult to get an H1 even if someone has a job. Please help!!
 
Was it selected in lottery but denied because of some other problem? A lot depends upon reason for denial. How come you are working without approval? OPT?
 
What would be the grounds for an appeal? Your employer did not/refuse to submit a required document. You need to find a new employer.
