H1 B Transfer

I had resigned from my job in US on 12/08 and currently em located outside the states.Since Feb 09 I have asked my previous employer to looking for job positions which they haven't been able to. I have got a valid I-94 but my passport needs to be stamped. My employer has told me that once they find a position for me they would need to revalidate my visa and take me in as a new hire.

Question :

1. Can another consulting company transfer my H1 B
2. Will there be a problem with my passport stamping once another company gets my H1 B transferred.
 
How can you have I-94 if you are outside US? You should have returned it at the airport.
You will need a valid visa, valid and current petition and current offer letter to enter the US. Any employer can file a new cap exempt petition for you anytime if you haven't finished 6 years in H1 status.
