Green card employer requirements

I will use my H1B from Oct 1st,2008. It will be valid till Sept 5, 2009 because I had 4y a L1B.

During that period I want to start green card processing.

We want to set up a new US company that will have initially no employees. Can this new US company start the green card processing for me?

Or in other words what are the US company requirements to start green card processing?
 
From the date of labor filing (Priority date) until I-485 adjudicates, if company can show it has paying ability of prooffered wages then it is possible, it could take shape in form of net income or net current assets
