C-Corp on H1B

Hi,

I have been following the forum closely and got lots of questions answered. Thanks to JoeF and other contributors.
I'm on H1B and planning to start a C-corp. I understand that i have to be a passive investor. I'm employee of other company and they are doing my GC.
If i start a C-corp, i know that the tax is not pass through. So do i have to file my taxes end of year any thing different from previous years?
Also, since this is a real start up company, I may hardly have any profit at all. So realistically i cant afford to hire CEO (who is citizen or resident) on full time basis. I agree that no one works for free, but the amount of work the CEO has to do would be just few hours every month. So is there a way instead of paying salary to the CEO i can just give him a 5% stock.
So, what ever profit my company makes he would get 5% out of it.
Is this possible. Please advice.

why don't he start up his own company ? ( Instead of working in a company which can not even pay salary, then how much will be 5% )

looks fishy to me.
