Another case/question for H1B-OPT (merger/acquisition)

First of all, thank you in advance for your reply and help for us all immigrants. I really appreciate it.

The situation is: My H1B case was filed on April 2, 2004 for Oct 1 start date and my OPT expires in first week of Aug 2004. I have a few questions regarding this situation:

1. What should I be aware of if by the time my OPT expires, I don’t get H1B approval? Should I change to use Premuim Process?

2. I have to been told from my HR person that I can still be paid after my OPT expires, if I have some Time Off Paid of the year, I can use that as my short leave and still be paid for as many days I can put as vacation. Is that correct?

3. What is my legal status, what would happen if by the time I’m suspended from my work (Aug - Sept 30), the acquisition or merger in the company happens and I need to transfer my H1B visa to another company before my H1B start date begins?
