An Interesting Scenario. Please Please Help Me!!!

Scenario:
I am a H1B holder on company A(Indian outsourcing company), working for client C1.
Now C1 is offering me a project that I can outsource.

What I want to do?
1. Open a company in India.
2. Sign the contract (as the director of Indian company) with C1 and start work in India.
3. Register my Indian company in USA to receive payments from C1. (This is possible. I have seen many Indian companies have their registered office in usa for payment purposes.)
4. Start outsourcing work: I want to work for C1 at USA(as I do the same for company A) and send work to my Indian company.

Issues:
H1 holder can not work for his company in USA.
- Is this applicable to my scenario? Can I process H1B on my own Indian company for me? or Which visa is good?

Questions:
1. How do I register my company in USA? What type it should be, LLC/Corp...etc?
2. Can I come to US on behalf of my own company and work for C1? If yes, please tell me which visa is good.
3. If I am not able to work for my company, on my own company visa, I understand that I need to recruit a citizen/GC holder of USA. But, I don't want to do that. So, Can I transfer my H1 to company B and do the same work?
4. Can I just register my company in USA with out any person recruited in US? Just to have virtual office in USA to receive payments?

Please Please help me.
