New company and H1B TRANSFER

I want to form a new company, and do a H1B TRANSFER for a friend, i will pay him more than $50 per hour as he has 6 years of experience in US in HiTech industry (VLSI).

To qualify company for H1B transfers, I can deposit $50K into companies bank account.
What other formalities would company need to fulfill to have H1B transfers?
Basically, avoiding any issues with INS.

Note: H1B candidate is in US working for some other company.
