Need Business Help

Hello,

I am on my H-4. I am interested in opening a company (LLC) . Read through the threads and concluded that I can open a company but can’t get paid from it.
I’ve an American friend who is ready to help me. (Be a CEO or Manager of the company)

1. How do I make her the CEO of my company(since i am not permitted to work. Can I do it? Would it be considered as a work?)
2. My friend is ready to work free of cost for my company,(since she is the owner of her own company). Is such a setup possible.

What are you opening the LLC for? what is the business purpose ?

Does your State support Single member LLC?
Even if it supports, the Single member LLC is a disregarded entity, so basically you will be filing a Sch C on your Tax return, paying self employment taxes. You have told that your GC processing is going on ....So wouldn't that effect you ?

Need Business Help

Hello,

Yes I am in my 7th year of H4 my husband has applied for GC in April of 2004.

I called up Secretary of State in my State and asked them about the LLC. The said Single owner LLC is very much considered as a LLC. My intent is on hiring CEO (my friend who is a American citizen) and then forward she would be doing all the work. All the profits would be held under company account and not my personal account. Her Salary will be commission based ( % of copmpany's profit will be her salary). Part of the profits will be diverted back as funding for advertisement and other adminstrative cost by the CEO. The only work involved on my part would be hiring her. Is that still considered work without authorization?

I appreciate your valuable advice.

Dear USAK21,

If you are the sole owner of a single member LLC, its like being a sole propreiter on the federal side( disregarded entity) but you are protected under the state laws under the laws of LLC(Once you file Articles of Organization.).

So my Suggestion is Go for a C-corp or LLC elected to be a C corp( will be treated as a c Corp under federal rule). You may be the shareholder of the C corp and hire some one to work for the company.

Do not give excess information to anyone, they will confuse you more.
